Welcome to Northwood Learning! These Terms and Conditions ("Terms") govern your use of the Northwood Learning website, mobile applications, and any related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.
1. Acceptance of Terms
These Terms constitute a legally binding agreement between you and Northwood Learning, a company based in Seattle, Washington, located at 1200 Westlake Avenue N, Suite 100, Seattle, WA 98109. By using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and Cookies Policy, which are incorporated herein by reference. We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting to the website. Your continued use of the Services after any such changes constitutes your acceptance of the revised Terms.
2. Use of Services
You agree to use the Services only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the Services. Prohibited behavior includes harassing or causing distress or inconvenience to any other user, transmitting obscene or offensive content, or disrupting the normal flow of dialogue within our Services. You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. 4. Course Enrollment and Payment
Enrollment in any course offered by Northwood Learning is subject to availability and acceptance of your registration. Course fees are displayed on the course pages and are subject to change. Payment is due at the time of enrollment, unless otherwise specified. Northwood Learning accepts various forms of payment, including credit cards, debit cards, and PayPal. All payments are processed securely through our payment gateway provider. We use Stripe to securely process payments. Detailed information is available in our Privacy Policy.
5. Intellectual Property
The content, design, graphics, and other materials on the Northwood Learning website and Services are owned by or licensed to Northwood Learning and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, modify, distribute, or otherwise use any of the content without the prior written consent of Northwood Learning. You are granted a limited, non-exclusive, non-transferable license to access and use the Services and content solely for your personal, non-commercial use.
6. User Content
You may be able to submit content, such as comments, forum posts, and project submissions, to the Services ("User Content"). You retain ownership of your User Content, but you grant Northwood Learning a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, adapt, publish, translate, distribute, and display your User Content in connection with the Services. You represent and warrant that you have all necessary rights to grant this license and that your User Content does not violate any third-party rights or applicable laws.
7. Disclaimer of Warranties
The Services are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied. Northwood Learning disclaims all warranties, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Northwood Learning does not warrant that the Services will be uninterrupted or error-free, that defects will be corrected, or that the Services are free of viruses or other harmful components. We work hard to provide quality content, but do not guarantee specific outcomes from our courses. Eleanor Vance, PhD, is the head of curriculum development.
8. Limitation of Liability
In no event shall Northwood Learning be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in any way connected with your use of the Services, whether based on contract, tort, strict liability, or any other theory, even if Northwood Learning has been advised of the possibility of such damages. Northwood Learning's liability to you for any cause whatsoever, and regardless of the form of the action, will at all times be limited to the amount paid by you to Northwood Learning for the Services in the twelve (12) months preceding the event giving rise to the liability.
9. Indemnification
You agree to indemnify, defend, and hold harmless Northwood Learning, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your use of the Services, your User Content, or your violation of these Terms.
10. Termination
Northwood Learning may terminate your access to the Services at any time, with or without cause, with or without notice. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Seattle, Washington for the resolution of any disputes arising out of or relating to these Terms or your use of the Services.
